Purchase Terms

Terms and conditions governing purchases made through merchants on Pandabase.

These Purchase Terms (“Terms”) constitute a legally binding agreement between you (“Buyer”, “you”) and Pandabase (“Pandabase”, “we”, “us”), acting as the Merchant of Record for all transactions processed through the platform. By completing a purchase on any Pandabase-powered storefront, you agree to these Terms in their entirety.

Pandabase reserves the right to modify these Terms at any time. The version in effect at the time of your purchase governs that transaction.


1. Merchant of Record

1.1 Pandabase operates as the Merchant of Record for all transactions. This means that when you make a purchase through a Pandabase-powered storefront, you are transacting with Pandabase — not directly with the merchant. Pandabase is the legal seller responsible for processing your payment, collecting applicable taxes, and issuing receipts.

1.2 The merchant is solely responsible for the product itself, including its quality, delivery, functionality, and any associated customer support. Pandabase does not develop, endorse, or guarantee any product sold through the platform.

1.3 As the seller of record, Pandabase issues the receipt and, where applicable, the tax invoice for your purchase. The merchant does not invoice you directly for transactions completed through Pandabase.


2. Digital Products

2.1 Nature of Products. All products sold through Pandabase are digital goods, including but not limited to software, digital downloads, license keys, subscriptions, and access to digital services. No physical goods are sold through the platform.

2.2 Delivery. Digital products are delivered electronically upon successful payment. Delivery is considered complete when the product is made available for download or access, regardless of whether the Buyer has accessed or downloaded it.

2.3 License. Unless otherwise stated by the merchant, purchases grant a non-exclusive, non-transferable, revocable license to use the digital product for personal or commercial purposes as described in the product listing. You do not acquire ownership of the underlying intellectual property.


3. Pricing and Payment

3.1 Currency. All prices are displayed and charged in United States Dollars (USD) unless otherwise indicated at checkout.

3.2 Taxes. Applicable sales tax, VAT, GST, or other transaction taxes are calculated and collected by Pandabase at checkout based on your location. Tax amounts are displayed before payment is confirmed.

3.3 Payment Methods. Pandabase accepts major credit cards, debit cards, and other payment methods as displayed at checkout. All payment information is processed through PCI-compliant systems. Pandabase does not store your card number.

3.4 Authorization. By submitting payment, you authorize Pandabase to charge the specified amount to your selected payment method. You represent that you are the authorized holder of the payment method used.

3.5 Eligibility. To make a purchase you must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract. Where a purchase is made for a minor, it must be completed by a parent or legal guardian who accepts these Terms.

3.6 Geographic Restrictions. You may not purchase through Pandabase if you are located in or ordinarily resident in a jurisdiction subject to comprehensive sanctions or otherwise restricted under the Merchant Services Agreement, or if you appear on any applicable sanctions or denied-party list. Pandabase may refuse, cancel, or reverse any transaction where necessary to comply with sanctions or applicable law.


4. Refunds and Withdrawal Rights

4.1 Global Default. Unless required by applicable law or granted at Pandabase’s discretion, all purchases are final, non-refundable, and non-exchangeable once the digital product has been delivered.

4.2 Non-Waivable Rights Always Apply. Nothing in these Terms limits any mandatory consumer rights available to you under the laws of your country of residence. Where local consumer protection law grants you additional or non-waivable rights, those rights apply and override any conflicting provision in these Terms. Where regional differences apply within a country, Pandabase applies the highest standard of protection available in that country.

4.3 Statutory Withdrawal Rights. Where the law of your country grants an unconditional right to withdraw from a digital content or service contract, you may cancel and receive a full refund by submitting a request within the applicable period below, measured from the date of your purchase:

  • European Union / EEA / Switzerland / United Kingdom — 14 days
  • Turkey / Israel — 14 days
  • South Korea / Brazil / China — 7 days
  • Canada — 7 days
  • Singapore — 5 days

This right applies to one-off purchases and to the first payment under a subscription. It does not apply to subsequent subscription renewal payments, except as set out in Section 4.9.

4.4 Waiver for Digital Content. The statutory right to withdraw in Section 4.3 does not apply to digital products that you have begun to download, stream, or otherwise access where, at checkout, you have expressly consented to immediate delivery and acknowledged that you thereby lose your right to withdraw. Where you have not given this consent, the applicable withdrawal period continues to apply in full.

4.5 Discretionary Refunds. Even where no statutory right applies, Pandabase may, at its sole discretion, issue a full or partial refund if you submit a request within fourteen (14) days of the purchase date. Submitting a request within this window does not guarantee a refund. Requests are reviewed on a case-by-case basis, taking into account factors including the nature of the product, the reason for the request, the extent of any usage or consumption, and any applicable merchant terms. Any discretionary refund is voluntary and creates no obligation to grant refunds for similar requests in the future.

4.6 Defective or Misdescribed Products. Regardless of the windows above, this Policy does not affect your rights in relation to products that are faulty, not as described, or not fit for purpose. If you experience a persistent technical issue or a material defect that prevents you from accessing the product as described, contact the merchant first to resolve the issue. If it cannot be resolved, escalate to Pandabase with details of the issue and the merchant’s response, and Pandabase will issue a refund where required by applicable consumer protection law.

4.7 How to Request a Refund. To request a refund or exercise a withdrawal right, first contact the merchant directly through the contact information provided on their storefront or in your purchase receipt. If the merchant does not respond, or declines a request you are entitled to under this Section, escalate to Pandabase within the applicable window above by either: (a) signing in to your customer portal at mypandabase.com and selecting the refund option for the relevant order; or (b) emailing support@pandabase.io.

4.8 Processing. Where eligible, approved refunds are processed to your original payment method where possible, within fourteen (14) days of approval. Processing times may vary depending on your financial institution. Once a refund is issued, access to the relevant product will cease.

4.9 Subscriptions. Statutory withdrawal rights apply to the first payment under a subscription and not to subsequent renewal payments, except that: (a) if a subscription includes a free trial, a new withdrawal period begins when the trial ends; and (b) for annual subscriptions purchased in the United Kingdom, a new 14-day withdrawal period begins on the day the subscription auto-renews for another year. You may cancel a subscription at any time to prevent future billing. Cancellation takes effect at the end of the current billing period, and you retain access to the product until then. Pandabase does not offer prorated refunds for mid-cycle cancellations.

4.10 Add-Ons and One-Time Transactions. Refund eligibility for add-ons and one-time transactions follows the same criteria as the main transaction, unless local law provides otherwise. Add-ons linked to a subscription expire when that subscription ends.

4.11 No Refund After Chargeback. If you file a chargeback or payment dispute with your bank or card issuer before requesting a refund under this Section, you forfeit the right to a discretionary refund through Pandabase. This does not affect any statutory right or any lawful right to dispute a charge under Section 5.


5. Chargebacks and Disputes

5.1 Contact the Merchant First. If you are dissatisfied with a purchase, have not received your product, or believe a charge is unauthorized, you must first contact the merchant to resolve the issue. Most issues can be resolved directly and without involving your financial institution.

5.2 Legitimate Disputes. Pandabase respects the chargeback process as a consumer protection mechanism. If you have made a genuine attempt to resolve the issue with the merchant and have been unable to do so, you may file a dispute with your card issuer.

5.3 Fraudulent and Abusive Disputes. Filing a chargeback for a product that was delivered and accessible to you, without first contacting the merchant for a refund, constitutes abuse of the dispute process (“friendly fraud”). Pandabase treats fraudulent disputes seriously and reserves the right to take the following actions:

  • Permanent ban. Your email address, payment method, device fingerprint, and associated identifiers will be permanently blocked from making any future purchases on any Pandabase-powered storefront.
  • Revocation of access. All licenses, downloads, subscriptions, and access to digital products associated with the disputed transaction — and any other products purchased under your account — will be immediately and irrevocably revoked.
  • Fraud reporting. Pandabase may report fraudulent disputes to fraud prevention networks, card schemes, and law enforcement agencies where applicable.
  • Recovery. Pandabase reserves the right to pursue all available legal remedies, including but not limited to debt collection and civil action, to recover losses resulting from fraudulent chargebacks.

5.4 Evidence Submission. In the event of a dispute, Pandabase will submit evidence to your card issuer demonstrating the validity of the transaction, including proof of delivery, access logs, IP addresses, device fingerprints, and transaction metadata.

5.5 Dispute Outcomes. If a dispute is resolved in Pandabase’s favor, the charge will remain on your statement. If the dispute is resolved in your favor, the charge will be reversed. Regardless of outcome, any account restrictions imposed under Section 5.3 may remain in effect at Pandabase’s sole discretion.

5.6 Preservation of Lawful Rights. Nothing in this Section limits or waives any statutory right you may have to a refund, or any lawful right to dispute a charge under applicable consumer protection or card-scheme rules. Your refund and withdrawal rights are set out in Section 4.


6. Prohibited Conduct

6.1 You agree not to:

  • Use stolen, unauthorized, or fraudulent payment methods to make purchases.
  • File false or misleading chargebacks or disputes.
  • Attempt to obtain products without payment through exploitation of platform vulnerabilities, coupon abuse, or social engineering.
  • Resell, redistribute, or sublicense purchased digital products unless explicitly permitted by the merchant.
  • Use automated tools, bots, or scripts to make purchases.
  • Create multiple accounts to circumvent bans, restrictions, or purchase limits.

6.2 Consequences. Violation of any of the above may result in immediate account termination, revocation of all product access, a permanent platform-wide ban, and referral to law enforcement where applicable.


7. Account Termination and Bans

7.1 Pandabase may, at its sole discretion and without prior notice, permanently ban any Buyer from the platform for:

  • Filing fraudulent or abusive chargebacks.
  • Using stolen or unauthorized payment methods.
  • Engaging in any prohibited conduct outlined in Section 6.
  • Any activity that Pandabase reasonably determines to be harmful to the platform, its merchants, or other buyers.

7.2 Effect of Ban. A permanent ban results in:

  • Immediate loss of access to all previously purchased digital products.
  • Blocking of all associated payment methods, email addresses, and device identifiers.
  • Inability to make future purchases on any Pandabase-powered storefront.

7.3 No Refund on Ban. Buyers who are banned for violations of these Terms are not entitled to refunds for any prior purchases.


8. Limitation of Liability

8.1 Pandabase is the Merchant of Record for payment processing purposes. Pandabase does not develop, control, or guarantee the quality, safety, legality, or fitness for purpose of any product sold by merchants on the platform.

8.2 To the maximum extent permitted by law, Pandabase’s total liability for any claim arising from a purchase shall not exceed the amount you paid for the specific transaction in question.

8.3 Pandabase shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of data, revenue, or profits, arising from your use of or inability to use purchased products.


9. Governing Law and Disputes

9.1 Governing Law. These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

9.2 Dispute Resolution. Any dispute arising from these Terms or a transaction processed through Pandabase shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Florida, United States.

9.3 Class Action Waiver. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

9.4 Small Claims. Notwithstanding Section 9.2, either party may bring a claim in small claims court if the claim falls within the court’s jurisdictional limits.

9.5 Mandatory Consumer Rights. If you are a consumer, nothing in this Section deprives you of the protection of the mandatory laws of your country of residence, including any right to bring proceedings in your local courts and the withdrawal and refund rights in Section 4. Where such mandatory law applies, it prevails over Sections 9.1 through 9.3 to the extent of any conflict.
