Pandabase provides merchant of record (MoR) services, facilitating transactions between independent merchants (“Merchants”) and their customers (“Buyers”). By purchasing products through Pandabase, you, as a Buyer, agree to be bound by these Terms of Sale. Pandabase reserves the right to modify these terms at any time. Changes will be effective immediately upon posting on our website, and your continued use of the platform indicates your acceptance of those changes. It is your responsibility to periodically review this document.

Definitions:

  • Pandabase: Refers to the entity providing merchant of record services and managing the platform facilitating transactions.
  • Buyer: An individual or entity that purchases products from Merchants through the Pandabase platform.
  • Merchant: An individual or entity that uses the Pandabase platform to sell products.
  • Product: Any good, service, or digital content offered for sale by a Merchant through the Pandabase platform.

1. Product Information

  • Merchants are solely responsible for providing accurate descriptions, pricing, and any necessary information regarding their Products. Pandabase is not responsible for any misrepresentations made by Merchants.
  • It is the Buyer’s responsibility to review all product information carefully before making a purchase.

2. Payment and Order Processing

  • Payment is processed through Pandabase’s payment gateway.
  • Upon successful payment, the Buyer will receive an order receipt along with the product, via email, detailing the purchase.
  • Pandabase acts as the payment processor and facilitates the transaction between the Buyer and the Merchant but does not take ownership of the Product itself.

3. Refunds and Returns

  • Eligibility for Refund: Buyers may be eligible for a full refund under the following conditions:

    • The purchased Product is defective or not as described in the product listing.
    • The Buyer requests a refund within 7 days of the initial purchase date.
    • The product is a digital product or service. In these cases, Pandabase has the right to offer a refund.
  • Refund Process:

    1. The Buyer must first contact the Merchant directly to attempt to resolve the issue.
    2. If the Merchant cannot provide a suitable solution within a reasonable time frame (typically 24 hours), the Buyer may contact Pandabase customer support for assistance.
    3. Pandabase will investigate the issue and may request additional information or evidence.
    4. If a refund is approved, Pandabase will process the refund to the Buyer’s original payment method, typically within 7-10 business days.
  • Non-Refundable Situations:

    • Refunds will not be granted if the Buyer has misused or abused the Product, including but not limited to using it in violation of the merchant’s intended usage terms.
    • Refunds will not be granted for “change of mind” or buyer’s remorse.
    • Refunds will not be granted if the Buyer fails to initiate the refund process with the merchant first.
  • Service Issues: If the product is a service and the issue is not resolved after an agreed upon time then a prorated refund will be considered for the service not provided.

  • Digital product issues: In the case of digital products that can not be returned a refund may be issued, but only if the issue cannot be resolved by the merchant in a reasonable time frame.

4. Disputes

  • Initial Contact: In the event of any dispute with a Product or Merchant, the Buyer must first contact the Merchant directly to attempt to resolve the issue amicably.
  • Escalation to Pandabase: If the Buyer and Merchant are unable to resolve the dispute, the Buyer may contact Pandabase customer support for mediation.
  • Mediation: Pandabase will act as a mediator to assist in resolving the dispute based on available evidence provided by both the Buyer and the Merchant. Pandabase aims for a fair resolution based on the facts and the circumstances. We are not an arbitrater
  • Resolution: Pandabase’s decision regarding any dispute is final and will be considered binding to the extent allowed by applicable law.
  • Information: Buyers may be required to provide purchase details or other information as deemed necessary by Pandabase to process the dispute.
  • Pandabase Responsibility: Pandabase will only get involved if the Merchant does not respond to the dispute.

5. Chargebacks

  • Pre-Chargeback Communication: Buyers must first attempt to resolve any issues with the Merchant and then Pandabase directly through our dispute resolution process before initiating a chargeback with their bank.
  • Fraudulent Chargebacks: Pandabase reserves the right to contest chargebacks that are deemed fraudulent, abusive, or not in compliance with our terms.
  • Fees: Buyers may be responsible for any chargeback processing fees resulting from a fraudulent chargeback.
  • Legal Action: In cases of repeated, fraudulent chargebacks, Pandabase may take legal action against the Buyer and may also ban future usage of the platform and services, including block associated card numbers.
  • Evidence: Buyers will be required to provide evidence to their bank that they attempted to resolve the issue with the merchant and Pandabase before requesting a chargeback.

6. Limitation of Liability

  • Pandabase acts as a facilitator, not as the direct seller of the Products offered by Merchants. As such, Pandabase is not liable for the quality, safety, or legality of the products sold by merchants.
  • Pandabase is not liable for any indirect, incidental, consequential, or punitive damages arising from any purchase made via the Pandabase platform.
  • Pandabase’s maximum liability to a Buyer is limited to the amount paid by the Buyer for the specific product giving rise to the claim.

7. Governing Law

  • These Terms of Sale are governed by the laws of the State of Florida, United States.
